Terms of Service
Pending owner approval: this version is not in effect yet.
The short version
Prism gives your business an AI team led by a Team Lead. You choose how hands-on to be, and you make the decisions. AI drafts can be wrong: check them before you use, publish, or send them.
Your account details, business answers, task requests, drafts, decisions, and usage and billing records support that work. Supabase supports accounts and storage, Resend supports email, OpenAI processes the context needed for AI work, and Stripe supports billing. The Privacy Policy explains the details.
Subscriptions have task limits. Your team pauses new AI work when the applicable limit is reached. Questions or cancellation help? Email help@prismworkforce.ai.

1. Agreement and operator
These Terms govern access to and use of Prism. By accepting them, you agree to these Terms and acknowledge the Privacy Policy. If you use Prism for a business, you represent that you have authority to bind that business. References to “you” include that business where applicable.
[NEED FACT: legal name and business address of the Prism operator, effective date, and implemented acceptance record.]
This draft is not an effective agreement and does not authorize real customer charges.
2. Accounts and permitted use
Provide accurate account information, protect your login credentials, and notify Prism if you suspect unauthorized access. You are responsible for activity you authorize through your account.
Use Prism lawfully. Do not attempt to bypass limits or security controls, obtain another customer's information, submit malicious code, or use the service to infringe rights or carry out unlawful activity. Submit only content and personal information you are authorized to provide. Do not put passwords, full payment-card details, or unnecessary sensitive personal information into task requests.
Prism may restrict or suspend access as reasonably necessary to address misuse, security threats, nonpayment, or legal requirements. Restrictions do not authorize charges beyond the subscription or purchases you agreed to.
3. AI workers, review, and responsibility
Prism's workers and Team Lead are AI, not human employees. Their work may contain errors, omissions, bias, invented information, or material that is unsuitable for your purpose. A Team Lead review is also an AI review and does not guarantee accuracy.
You are responsible for checking output for accuracy, legality, suitability, confidentiality, and rights before using it. You are responsible for your business decisions and for anything you publish, send, distribute, or act on, including output produced in hands-off mode. Approval or automatic acceptance inside the portal is not proof that a draft is correct or appropriate.
Do not treat AI output as a substitute for qualified legal, tax, financial, medical, or other professional advice. Obtain appropriate professional review when needed. Prism does not guarantee business results, regulatory compliance, originality, or exclusive output.
4. Monthly subscriptions and renewal
The owner-approved monthly subscription prices are Starter at $29, Growth at $79, and Pro at $179, in US dollars. Applicable taxes and any additional purchase must be disclosed before payment.
Proposed subscription terms: a paid subscription renews monthly at the disclosed price until canceled. You authorize the payment provider to charge the agreed subscription fee at the end of the trial and at each renewal. Any price change applies prospectively and must be disclosed before it takes effect, with an opportunity to cancel before the changed charge.
[NEED FACT: verified renewal, tax, price-change notice, payment-failure, and refund behavior in the billing implementation.]
Stripe billing is currently in test mode. Test checkout is not a real payment and must be identified as such. Real payment handling requires separate owner review before activation.
5. Seven-day trial
The trial lasts seven days and includes 15 tasks total, with a daily cap of five. A payment card is required. The intended trial converts to the selected paid monthly subscription unless canceled before the trial ends; the checkout must clearly show the selected plan, amount, and trial end before you agree.
Eligibility is limited to one trial per email and one per payment card. The eligibility design normalizes email addresses by lowercasing them and removing Gmail dots and plus-tags, and uses Stripe's card fingerprint to recognize a card. These rules must be implemented and disclosed consistently with the Privacy Policy before launch.
Trial tasks accept up to 1,000 words of input. Deep tasks and top-up purchases are unavailable during the trial. Code requests longer than 50 lines and bulk requests containing more than five items in a task are refused; the team offers a smaller task or an upgrade instead. Creating additional accounts to evade trial eligibility or usage limits is prohibited.
6. What counts as a task
One standard task is one job: the Team Lead plans it, one specialist performs it, and the Team Lead reviews it. It uses one task unit, with no more than four AI steps. A deep task uses three task units and is available only on Growth and Pro.
Task units are reserved and deducted when a task starts. A task starts only if the available balance covers its whole cost. A request for additional work may require another task; the interface must show its cost before it starts. The usage rules do not promise a refund for every unsatisfactory draft.
[NEED FACT: verified treatment of failed tasks, canceled tasks, retries, revisions, and usage refunds.]
7. Plan limits
| Plan | Included tasks | Daily cap | Maximum input for a normal task | Deep tasks |
|---|---|---|---|---|
| Trial | 15 total over seven days | 5 | 1,000 words | No |
| Starter | 60 per monthly billing period | 10 | 2,000 words | No |
| Growth | 200 per monthly billing period | 25 | 3,000 words | Yes |
| Pro | 450 per monthly billing period | 50 | 3,000 words | Yes |
Deep tasks accept up to 9,000 words of input and count as three tasks. Daily caps reset at midnight US Eastern time, using the America/New_York time zone.
A normal task has a hard AI budget of 40,000 input tokens and 6,000 output tokens, with at most 1,500 output tokens per AI step and no more than four steps. A deep task has a budget of 120,000 input tokens and 18,000 output tokens. Tokens are the small pieces of text an AI model processes; token budgets are separate from word limits and constrain processing, not a promised output length. Emily and engineering must verify the per-step deep-task implementation against these total budgets.
At 80% of an applicable monthly or daily limit, the intended service shows a warning and sends a usage email. At the limit, the server blocks new AI work that the applicable budget does not cover. Tasks already started may finish within their reserved budgets. No AI step may run without its required reserved units.
A top-up can address an exhausted monthly allowance on a paid plan, but not an exhausted daily cap. Otherwise, wait until the relevant reset or choose an available upgrade.
[NEED FACT: whether unused monthly tasks expire without rollover, and verified treatment of plan changes, prorations, and mid-period allowance adjustments.]
8. Top-up packs
The limits specification proposes three one-time packs: 25 tasks for $10, 100 tasks for $39, and 250 tasks for $95. These new prices are NOT owner-approved and must not be offered for real purchase until approved. Remove this proposal notice and publish only the approved catalog after review.
The proposed pack rules are: credits are used after included monthly tasks run out; they expire 90 days after purchase, subject to any mandatory law that restricts expiration; they do not increase your daily cap; they do not unlock deep tasks on Starter; and they cannot be purchased during the trial. Packs are one-time purchases, not a separate recurring subscription.
[NEED FACT: purchase eligibility after cancellation, credit availability when a subscription ends, consumption order, pack refund rules, and compliance of the expiration rule in jurisdictions served.]
9. Cancellation and refunds
Proposed cancellation terms: you may cancel future renewal through the billing controls provided for your account or request help at help@prismworkforce.ai. Cancel before the trial ends to avoid the first paid charge. For a paid subscription, cancellation stops future renewals and takes effect at the end of the already-paid billing period unless applicable law requires otherwise. Save the cancellation confirmation.
Cancellation does not by itself delete account data. See the Privacy Policy for data requests.
[NEED FACT: verified cancellation route and confirmation, handling of cancellation requests received by email, any timing requirements, and the approved refund policy. No blanket no-refund promise is made in this draft.]
Nothing in these Terms limits a refund, cancellation, or other payment right that applicable law does not allow Prism to waive.
10. Content and processing permission
You retain any rights you have in content you submit. You grant Prism permission to host, copy, transmit, and process that content only as needed to provide the service, including processing by the providers disclosed in the Privacy Policy. You represent that you have the necessary rights and permissions to submit it for those purposes.
Use of AI output is subject to applicable law and third-party rights. These Terms do not promise that an output is unique, copyrightable, or free of another person's rights.
11. Third-party services
Prism depends on outside providers, including Supabase for authentication and data storage, Resend for email, OpenAI for AI processing, and Stripe for billing. Provider failures, changes, security incidents, or outages may affect the service. Applicable provider terms may also govern your direct use of their services.
To the fullest extent permitted by applicable law, Prism is not liable for acts or omissions of Supabase, Resend, OpenAI, Stripe, or other third-party providers, or for breaches, hacks, unauthorized access, outages, interrupted communications, or loss or corruption of data. This clause does not exclude any duty or liability that the law does not allow Prism to exclude.
12. No warranties
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE AND ALL AI OUTPUT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY. PRISM DISCLAIMS WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM A COURSE OF DEALING OR USAGE OF TRADE.
Prism does not warrant that the service or output will be accurate, complete, secure, uninterrupted, error-free, or suitable for your purpose, or that errors will be corrected. No statement by an AI worker creates a warranty or changes these Terms. Nonwaivable statutory warranties or rights remain in effect.
13. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PRISM'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE FEES YOU ACTUALLY PAID TO PRISM DURING THE 12 MONTHS IMMEDIATELY BEFORE THE EVENT FIRST GIVING RISE TO THE CLAIM.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PRISM WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, BUSINESS OPPORTUNITIES, GOODWILL, OR DATA, EVEN IF ADVISED OF THE POSSIBILITY OF THOSE DAMAGES.
These limits apply regardless of the legal theory, including contract, tort, or negligence, and apply to AI errors, published or sent content, security incidents, breaches, hacks, outages, and third-party provider failures. They apply only where lawful. Nothing excludes or limits liability or remedies that applicable law does not allow to be excluded or limited.
14. Indemnification
To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Prism and its officers, employees, and agents from third-party claims, liabilities, damages, losses, and reasonable legal fees arising from your unlawful use of the service, your material breach of these Terms, content you submit without necessary rights or permissions, or content you publish, send, or use in violation of law or another person's rights.
Prism will provide reasonably prompt notice of a claim and reasonable cooperation. You may not settle a claim in a way that imposes an admission, payment, or ongoing obligation on Prism without Prism's prior written consent. This obligation does not extend to liability that applicable law prohibits shifting to you or to the extent caused by Prism's own legally non-indemnifiable conduct.
15. Maryland law
These Terms are governed by the laws of the State of Maryland, without regard to conflict-of-law principles, except where mandatory law requires otherwise. This choice does not deprive you of protections that applicable law makes nonwaivable.
[NEED FACT: operator location and any proposed dispute venue; no arbitration, class-action waiver, or exclusive venue is imposed by this draft.]
16. Changes and general terms
Material changes to these Terms must be communicated through the implemented notice process before they apply. Changes do not retroactively remove accrued rights or authorize charges you did not agree to.
[NEED FACT: implemented notice and acceptance process for changed Terms.]
If a provision is unenforceable, the remaining provisions remain effective to the extent permitted by law. A failure to enforce a provision is not a waiver. These Terms and any purchase terms expressly accepted at checkout form the agreement concerning the service; they do not override mandatory law.
